Terms of Cooperation

These Terms of Cooperation outline the general principles, responsibilities, and conditions governing all business interactions, commercial agreements, and exchange of information between METAL BRIDGE S.M.P.C. and its counterparties. All parties engaging with METAL BRIDGE acknowledge and accept the following terms unless otherwise agreed in writing.

1. Scope of Application

These Terms apply to all:

  • purchase and sale transactions of ferrous and non-ferrous metals, alloys, and recycled raw materials,

  • sourcing, recycling, procurement, and logistics services,

  • participation in public tenders and auctions,

  • commercial negotiations, contracts, and long-term cooperation agreements.

These Terms form an integral part of any offer, proforma invoice, order confirmation, or contract issued by METAL BRIDGE.


2. Product Specifications & Quality

  • All materials are supplied in accordance with the agreed specifications, grades, and tolerances as defined in each contract or technical sheet.

  • Deviations from specifications must be supported by inspection reports from accredited bodies (e.g., SGS, Bureau Veritas, Intertek).

  • The buyer must notify METAL BRIDGE in writing of any non-conformity within the agreed inspection period.


3. Prices & Payment Terms

  • Prices are based on the mutually accepted terms, market conditions, or benchmark indices (e.g., LME) where applicable.

  • Payment terms (TT, LC, CAD, Escrow, etc.) are agreed in each transaction.

  • Delayed payments may incur interest charges or suspension of further deliveries.

  • METAL BRIDGE reserves the right to request advance payment, security deposits, or additional documentation for compliance purposes.


4. Delivery, Shipping & Logistics

  • Deliveries follow the agreed Incoterms (e.g., FOB, CFR, CIF, DAP).

  • METAL BRIDGE is not liable for delays resulting from force majeure events, port congestion, strikes, customs delays, or third-party carrier issues.

  • Risk transfers according to the agreed Incoterms.

  • Partial shipments may be executed unless explicitly excluded.


5. Inspection & Acceptance

  • The buyer may appoint independent inspectors at loading or unloading.

  • Inspection results at the agreed location are considered final and binding.

  • Claims related to quantity, quality, or damage must be submitted with supporting documentation and within the specified timeframe.


6. Compliance & Ethical Conduct

All parties must comply with:

  • applicable local and international laws,

  • environmental regulations,

  • trade and export controls,

  • anti-corruption and anti-bribery rules,

  • KYC/AML requirements as requested by METAL BRIDGE.

Failure to comply may result in suspension or termination of cooperation.


7. Confidentiality

  • All information exchanged (commercial, technical, financial, strategic) is strictly confidential.

  • Disclosure to third parties is prohibited without prior written approval.

  • This obligation remains in force after the business relationship ends.


8. Limitation of Liability

METAL BRIDGE shall not be liable for:

  • indirect, consequential, or financial losses,

  • loss of profits,

  • delays caused by events beyond its control,

  • actions or omissions of external carriers, agencies, or authorities.

Any liability is limited to the value of the associated contract, unless prohibited by law.


9. Governing Law & Jurisdiction

Unless otherwise specified:

  • contracts are governed by Greek law, and

  • disputes fall under the exclusive jurisdiction of the competent courts of Athens, Greece.

Alternative arbitration mechanisms may be agreed upon in writing.


10. Amendments

METAL BRIDGE may update these Terms periodically.
The latest version applies automatically unless superseded by a written contract.


 

 

By engaging in any business transaction with METAL BRIDGE S.M.P.C., the counterparties acknowledge, accept, and agree to these Terms of Cooperation.
